Terms & Conditions for Supplier Hire**

These Terms & Conditions apply when Bright Site Solutions (Pty) Ltd (“Bright Site”, “we”, “us”, “our”) hires equipment (“Equipment”) from a supplier (“you”, “your”) for the purpose of re-hiring that Equipment to Bright Site customers. By accepting our hire order, you agree to these Terms unless otherwise agreed in writing.


1. Definitions

Contract means the agreement between Bright Site and the Supplier formed when Bright Site issues a hire order.
Equipment means the tools, machinery or equipment hired by Bright Site from the Supplier, including accessories, manuals and safety items supplied with it.
Delivery means delivery of the Equipment to the location specified by Bright Site.
Rental Period means the duration for which Bright Site hires the Equipment from the Supplier, as stated in the order.
Supplier means the business or person hiring the Equipment to Bright Site.


2. Application of These Terms

These Terms apply to the Contract to the exclusion of any terms issued by the Supplier unless expressly agreed by Bright Site in writing.

A Contract is formed when the Supplier accepts our order in writing or starts preparing the Equipment for delivery.


3. Hire of Equipment

You hire the Equipment to Bright Site for the Rental Period.

Bright Site may re-hire the Equipment to its customers under Bright Site’s own customer contracts.

You may not interfere with Bright Site’s or our customer’s lawful possession and use of the Equipment during the Rental Period.

You must not accept returns, off-hire requests or instructions directly from Bright Site customers. Any such contact must be reported to Bright Site immediately.

You must comply with all applicable South African laws relating to equipment hire, transport and safety.


4. Rental Period

The Rental Period begins on the date the Equipment is delivered to Bright Site or the delivery location communicated by Bright Site.

The Rental Period continues until Bright Site formally off-hires the Equipment in writing.

Bright Site may extend the Rental Period by written notice.


5. Condition, Quality and Safety of Equipment

You are responsible for ensuring that all Equipment supplied to Bright Site:

is in safe working order and fit for its intended purpose
meets manufacturer specifications and industry safety standards
has been properly maintained and serviced
includes all required guards, safety devices and operational controls
includes any manuals, keys, chargers or accessories required for safe use

You warrant that the Equipment will remain safe and functional for normal hire use during the Rental Period.

You confirm that you hold all licences, certificates or authorisations required to own and hire out the Equipment.


6. Rental Charges and Invoicing

Rental charges will be as agreed in writing with Bright Site.

Rental charges include all delivery, collection and transport costs unless otherwise agreed.

You may invoice Bright Site at the end of the calendar month in which the Equipment is collected from the Bright Site customer, or monthly for long-term hires.

All invoices must include the order number, invoice number and a description of the Equipment hired.

Bright Site will pay correctly rendered and undisputed invoices within the agreed payment terms.

Bright Site may withhold payment if the Equipment is faulty, unsafe, damaged on arrival, incorrectly described or unsuitable for hire to Bright Site’s customers.


7. Delivery and Collection

You will deliver the Equipment to the address notified by Bright Site.

Delivery is at your risk until the Equipment is unloaded safely at the delivery location.

Your staff must be trained and capable of delivering and installing the Equipment safely. Customers must not be asked to assist with offloading.

Delivery must take place on the agreed date and time. Time is of the essence.

At the end of the Rental Period, you must collect the Equipment from the location specified by Bright Site. You are responsible for safe loading and removal.

You must inspect the Equipment upon collection and note any damage or missing items on a collection document signed by both parties. A copy of this document must be provided to Bright Site.


8. Remedies for Faulty or Late Equipment

If the Equipment is not delivered on time, is unsafe, or does not conform to these Terms, Bright Site may:

reject the Equipment
terminate the Contract
require repair or replacement at your cost
claim a reduction in hire charges
hire suitable replacement equipment from another supplier and recover the cost difference from you
recover any costs Bright Site incurs due to customer complaints, downtime or replacement hire

These rights apply equally to repaired or replacement Equipment.


9. Ownership, Risk and Damage

Ownership of the Equipment always remains with you.

Risk transfers to Bright Site’s customer on delivery, provided the delivery is properly documented, and transfers back to you once you begin collection.

Bright Site will notify you as soon as reasonably possible of any loss, damage or incident involving the Equipment.

You must submit any damage claims to Bright Site within five business days of collection. Claims submitted after this period will not be considered.


10. Indemnity

You indemnify Bright Site against any loss, damage, injury, claim or cost arising from:

unsafe or defective Equipment
your breach of these Terms
your delay in delivery or collection
your staff’s actions while delivering or collecting Equipment
any failure to comply with legal or safety obligations

This indemnity survives termination of the Contract.


11. Liability

Bright Site’s total liability to the Supplier for any claim relating to the hire of Equipment is limited to the rental charges paid or payable for that item during the Rental Period.

Bright Site will not be liable for loss of profit, loss of business or any indirect or consequential loss.


12. Insurance

You must maintain insurance that covers:

full replacement value of the Equipment
public liability and third-party injury
transport of Equipment to and from Bright Site customers

Bright Site may request proof of insurance at any time.


13. Termination

Bright Site may cancel an order before delivery without penalty.

Bright Site may terminate the Contract immediately if:

you commit a material breach
the Equipment is unsafe or unsuitable
you fail to deliver on time
you fail to comply with safety, legal or operational requirements

Termination does not affect any rights that have already accrued.


14. Confidentiality

Both parties must keep confidential any information shared in connection with the Contract except where disclosure is required by law.


15. Governing Law

These Terms are governed by South African law.

Any disputes must be resolved in the courts of South Africa.


16. Entire Agreement

These Terms constitute the entire agreement between Bright Site and the Supplier for Equipment hire and supersede any previous arrangements unless agreed in writing.
