Bright Site Solutions (Pty) Ltd – Supplier Terms & Conditions

These Terms & Conditions apply to all purchases of second-hand equipment, tools and machinery (“Goods”) supplied to Bright Site Solutions (Pty) Ltd (“Bright Site”, “we”, “us”, “our”). By supplying Goods to Bright Site, the Supplier (“you”) agrees to these Terms unless otherwise agreed in writing. These Terms apply to all purchases whether placed in person, by email, online or via auction platforms.
Bright Site purchases pre-owned and ex-hire equipment primarily for resale or use within our hire fleet in South Africa. Because of the nature of used Goods, accurate descriptions and lawful ownership are essential.
1. Definitions
Contract means the agreement between Bright Site and the Supplier formed when Bright Site issues an order, accepts a quotation, or otherwise purchases Goods.
Goods mean used, second-hand or ex-hire items supplied to Bright Site, including tools, machinery, equipment and accessories.
Order means a purchase order or written request issued by Bright Site for Goods.
Supplier means the seller of the Goods, whether a business, individual, auction house or reseller.
2. Formation of Contract
An Order issued by Bright Site constitutes an offer to purchase Goods under these Terms.
A Contract is formed when the Supplier accepts the Order in writing, confirms dispatch, or delivers the Goods.
Any additional or conflicting terms issued by the Supplier are excluded unless agreed in writing.
Quotations must be accurate and reflect the true condition, specification, age and functionality of the Goods.
3. Supplier Warranties and Responsibilities
The Supplier warrants that it is the lawful owner of the Goods and that the Goods are not stolen, encumbered, subject to finance agreements or seized by any authority.
The Supplier warrants that Goods supplied are accurately described, including brand, model, age, hours of use, defects, missing parts and cosmetic condition.
Where Goods are stated to be “working”, “tested”, “serviced” or “ready for use”, the Supplier warrants that this description is true at the point of dispatch.
The Supplier must disclose any material faults, including hydraulic leaks, electrical faults, missing guards, non-functioning safety features or structural damage.
Goods must be free from undisclosed defects that render them unsafe or unusable.
The Supplier must ensure that all paperwork, manuals, certificates or provenance documents provided are genuine and accurate.
4. Delivery and Risk
Unless otherwise agreed, the Supplier is responsible for safe loading and dispatch of the Goods.
Goods must be securely packaged, clearly labelled and protected for international transport to South Africa.
Risk transfers to Bright Site only once the Goods are handed to the courier or freight forwarder named in the Order.
Bright Site is not responsible for any damage caused by inadequate packaging or improper loading.
Delivery dates must be reasonable and communicated clearly. The Supplier must notify Bright Site of any expected delays.
5. Inspection and Acceptance
Bright Site has the right to inspect Goods upon arrival in South Africa.
If the Goods differ materially from the description, are unsafe, non-functional where described as functional, or missing key components, Bright Site may reject the Goods.
If Goods are rejected, the Supplier must either issue a full refund or agree an alternative remedy such as partial refund or replacement.
Acceptance does not prevent Bright Site from later rejecting Goods if a material undisclosed defect is discovered that could not reasonably have been identified at delivery.
6. Price and Payment
Prices must be confirmed in writing before dispatch.
Unless agreed otherwise, payment is made after the Supplier issues a valid invoice.
Bright Site may withhold payment if Goods are not delivered, are materially defective, or do not match the agreed description.
Bright Site may deduct any costs incurred due to Supplier errors, including rework, repairs or replacement parts resulting from misdescription.
7. Liability
The Supplier is liable for any losses Bright Site suffers as a result of:
Supplying stolen or encumbered Goods
Misdescription leading to Bright Site’s financial loss
Supplying unsafe equipment
Failure to disclose material faults
Breach of warranties or breach of these Terms
Bright Site is not liable for indirect losses, lost opportunities or business interruption suffered by the Supplier.
8. Termination
Bright Site may cancel an Order before dispatch without liability.
Bright Site may terminate a Contract immediately if the Supplier breaches these Terms, misrepresents Goods, or fails to comply with lawful ownership requirements.
On termination, the Supplier must refund any payments already made for undelivered or non-compliant Goods.
9. Confidentiality
Any technical, pricing or business information shared by Bright Site must be kept confidential.
Information may not be disclosed to third parties without written permission unless required by law.
10. Compliance
The Supplier agrees to comply with all applicable UK and South African laws relating to the sale and export of Goods, including export restrictions, customs requirements and product safety obligations.
The Supplier confirms that all Goods are legally exportable and free of police or insurance claims.
11. Governing Law
These Terms are governed by South African law.
Any disputes must be resolved in the courts of South Africa.
12. Entire Agreement
These Terms form the entire agreement between Bright Site and the Supplier and supersede any prior arrangements unless explicitly agreed in writing.
